We provide a wide variety of services to our small business clients.  Some of these services are highlighted below.

STARTING A NEW BUSINESS

There are many important factors to consider when you start a new business , including the following:

  • What type of business organization will you create?

  • With which government agencies must you register?

  • What documents must be filed with these agencies?

  • Will you need to enter into any contracts, and if so, what legal obligations will they impose on you?
  1. What can you do to avoid being sued? Selecting the right business entity

    Selecting the type of business organization you form will have important liability and tax consequences.  Certain business organizations provide greater protection than others and each type of business organization offers different tax benefits. There are many options from which to choose in Colorado.  For some, an S Corporation may be most appropriate; for others, a limited liability corporation (LLC), or a perhaps a general partnership. Other choices include sole proprietorships, limited partnerships, C corporations, and exempt organizations, such as a non-profit business. Understanding that different types of businesses have different needs, we can help you determine the type of business organization that is most appropriate for you.

  2. Preparation of documents to create a business, and filing the appropriate documents with
    government agencies

    Once you decide the type of business you would like to create, we can help you prepare and file the necessary documents with the appropriate government agencies. Depending on the type of business, these may include Articles of Incorporation, Bylaws, Partnership Agreements, or Operating Agreements.  After the appropriate documents have been drafted, we can help you register your business with the Secretary of State, obtain the applicable licenses for your business, and guide you through the procedures for collecting sales tax and other taxes.

  3. Asset purchase agreements, the issuance of corporate stock, and stock purchase agreements

    As a business owner, you may need to acquire assets. For example, an individual opening up a coffee shop may want to purchase tables and chairs, sinks, coffee makers, an espresso machine, and other assets from an existing shop that is going out of business. The prospective coffee shop owner will need certain assurances when purchasing these assets. For example, the seller should assure the buyer that the seller is the lawful owner of the assets, the assets are in good repair, and there is no pending litigation involving the assets. A properly drafted asset purchase agreement will help protect you and the assets that your business purchases.     

    An important benefit of forming a corporation is that corporations are empowered to issue stock.  Issuing stock may help your business raise capital at the outset. We can assist you with issuance of stock, including drafting stock purchase agreements.
  4. Drafting and negotiating contracts

    Small business owners routinely enter into contracts with third parties. Depending on your business needs, you may need to enter into contracts with vendors, suppliers or independent contractors, or you may need to lease office space, or to lease equipment. We can help negotiate your contracts, develop “standard” business contracts for your use, and advise you about the legal ramifications of such contracts.

LEGAL SERVICES FOR EXISTING BUSINESSES

  1. Debt collection

    An unfortunate reality small business-owners face is that not all of their clients and customers pay their bills. Debt collection is an important part of doing business. There are a variety of tools we  can implement to help you recover unpaid bills. Depending on the circumstances, we can help you obtain judgments, garnish bank accounts and wages, and seize assets.

  2. Employment law

    It is very important that employers understand the legal obligations imposed upon them by the various state and federal employment laws. Laws such as the Americans with Disabilities Act, the Family Medical Leave Act, and the myriad of state and federal discrimination laws, all impact your obligations and responsibilities as an employer. We can advise you about these obligations, and assist you with the development of sound employment practices to help avoid potential liability. 

    Additionally, we can assist you with drafting employment contracts (including non-compete agreements, and trade secret protection agreements), employee handbooks, and policy manuals. Each of these documents may confer legal rights on employees. It is crucial that employers understand whether their contracts, policy manuals, or any other documents have subjected them to potential liability.
  3. Unemployment compensation obligations

    The Colorado unemployment compensation system permits employees to recover unemployment compensation benefits under certain circumstances. We can help develop strategies to avoid unemployment compensation obligations.

  4. Corporate record keeping and reporting requirements

    Colorado law requires business owners who have formed corporations to follow record keeping procedures, to conduct periodic meetings, and to periodically file documents with the Secretary of State. We can help you understand what you need to do to assure your compliance with the corporate record keeping and reporting requirements.
